An
indemnity agreement exists between two parties when one party
(indemnitor) agrees (under the terms of a contract) to defend
(pay for legal defense costs) and indemnify (pay for settlements)
the indemnitee (district) for claims that might arise out of the
operations or activity of the indemnitor.
When
an indemnitor provides the district with a Certificate of Insurance,
the certificate does not necessarily extend coverage to the district.
A Certificate of Insurance is simply verification of the indemnitor's
current insurance coverage. The district must be named as an additional
insured on the face of the Certificate of Insurance. Only a named
additional insured endorsement as an attachment to the indemnitor's
policy will extend insurance coverage to your district.
RESIG
is available to review member district's indemnity agreements,
hold harmless clauses, Certificates of Insurance, and named additional
insured endorsements. Please contact Joan Tapanainen, Director
of Risk Management Services, at (707) 836-0779 ext. 106, or send
an e-mail to jtapanainen@resig.org.
Various
agencies and vendors will make requests to your district for Certificates
of Insurance with regard to joint activities, leasing arrangements,
etc. Make all requests for Certificates of Insurance to Joan Tapanainen
